At the end of the negotiation on the inconsistencies that are paid by whom, the buyer then proceeds to the technical acceptance. The purpose of the technical acceptance is for the buyer to agree to purchase the aircraft subject to the correction of inconsistencies. The deposit is not normally refunded at the time of execution of the technical acceptance. This is appropriate, as the seller must now devote the necessary resources and time to repairing the aircraft. In addition, it offers a partial remedy in case of delay of the buyer. Even after confirmation of receipt of the acomphement from both parties, Agent Escrow will continue to treat the acomphement as being under the exclusive control of the buyer until the buyer provides additional written instructions on how to process the deposit otherwise. If the parties decide to proceed with the transaction, the Memorandum of Understanding will be replaced by an aircraft purchase contract. . . .
